CSW Industrials to Acquire MARS Parts for $650M

RectorSeal, a subsidiary of CSW Industrials, has entered into a definitive agreement to acquire Dusk Acquisition Corporation and its subsidiaries (MARS Parts) from Dusk Intermediate Holdings II, LLC for a base purchase price of $650 million in cash, with an additional earn-out of up to $20 million. The transaction is expected to close subject to regulatory approvals and customary conditions.
