Hellman & Friedman Acquires Goodman Global, Inc. in 2008 Take-Private

On February 13, 2008, Chill Acquisition, Inc. merged with and into Goodman Global, Inc., with Goodman Global, Inc. surviving. As a result, Goodman Global, Inc. became an indirect subsidiary of Goodman Global Group, Inc. (formerly Chill Holdings, Inc.), which was incorporated on October 15, 2007. This represents the take-private acquisition of Goodman by Hellman & Friedman LLC.
